Welcome to Vocalyze! These Terms of Service (“Terms”) govern your access to and use of the AI receptionist services provided by C Moses Ventures LLC, doing business as “Vocalyze” (“we,” “us,” or “our”).

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Service Description

Vocalyze provides an AI-powered receptionist service for small businesses, including:

  • 24/7 Call Answering: Automated answering of inbound calls using artificial intelligence
  • Appointment Booking: Scheduling and managing appointments through voice interaction
  • Message Taking: Recording and relaying messages from callers
  • Call Summaries: Providing summaries of calls via SMS and email
  • Multi-Channel Notifications: Sending appointment confirmations, reminders, and updates via SMS and email

Our service is designed to help small businesses manage customer communications efficiently without the need for a full-time receptionist.

2. SMS Text Messaging Services

Vocalyze offers SMS messaging services to provide appointment reminders, call summaries, service notifications, and other transactional and promotional messages to customers who have opted in.

2.1 Types of Messages Sent

By opting in to receive SMS messages from Vocalyze, you may receive:

  • Appointment Confirmations: Confirmation of scheduled appointments
  • Appointment Reminders: Reminders before upcoming appointments
  • Call Summaries: Summaries of calls handled by our AI receptionist
  • Service Notifications: Updates about your account, service changes, or important information
  • Transactional Messages: Responses to inquiries, booking confirmations, and service-related communications
  • Marketing Messages (if opted in separately): Special offers, discounts, product updates, and promotional content

2.2 Message Frequency

Message frequency varies based on your usage of our service and the volume of calls and appointments managed. You may receive multiple messages per day during periods of high activity.

By providing your phone number and opting in through our consent form, you expressly consent to receive SMS messages from C Moses Ventures LLC (DBA “Vocalyze”) at the phone number provided.

Consent is not a condition of purchase. You may use our services without opting in to SMS notifications by selecting alternative communication methods.

2.4 Opt-Out Instructions

You may opt out of receiving SMS messages at any time by:

  • Texting STOP: Reply STOP to any message from Vocalyze to unsubscribe
  • Contacting Support: Email contact@vocalyzeai.com to request removal
  • Account Settings: Update your notification preferences in your account

After you text STOP, you will receive one final confirmation message. You will not receive further SMS messages unless you opt back in.

Message and data rates may apply based on your mobile carrier plan. Standard messaging rates from your carrier apply to all messages sent and received.

Carriers are not liable for delayed or undelivered messages. Delivery is subject to carrier network availability and other factors beyond our control.

Our SMS services are compatible with major U.S. carriers. Service availability may vary by carrier and location.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By creating an account, you represent that you meet these requirements.

3.2 Account Information

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach

3.3 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for losses caused by unauthorized use of your account.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms.

4.1 Prohibited Uses

You may NOT use our services to:

  • Violate any local, state, national, or international law
  • Send spam, unsolicited messages, or harassing communications
  • Impersonate any person or entity or misrepresent your affiliation
  • Distribute malware, viruses, or harmful code
  • Interfere with or disrupt our services or servers
  • Engage in fraudulent, deceptive, or misleading practices
  • Violate TCPA, CAN-SPAM, or other communications regulations
  • Collect or harvest user information without consent
  • Use our service for any illegal or unauthorized purpose

4.2 TCPA Compliance Requirement

If you use our SMS services to contact your customers, you are responsible for obtaining proper consent from recipients before sending messages. You must:

  • Obtain express written consent for marketing messages
  • Maintain records of consent
  • Honor opt-out requests immediately
  • Comply with all TCPA and state telemarketing laws

We are not responsible for your compliance violations. You agree to indemnify us for any claims arising from your improper use of SMS services.

4.3 Content Standards

You are responsible for all content transmitted through our service. Content must not:

  • Be unlawful, threatening, abusive, or obscene
  • Infringe on intellectual property rights
  • Contain false or misleading information
  • Violate privacy rights of others

5. Payment and Billing

5.1 Pricing

Vocalyze is offered on a subscription basis. Current pricing is $247 per month for our standard plan, which includes:

  • Unlimited call handling
  • 24/7 AI receptionist availability
  • Appointment booking and management
  • SMS and email notifications
  • Call recording and transcription

Additional features or usage beyond plan limits may incur additional fees.

5.2 Billing

  • Billing Cycle: Monthly, on the date you subscribe
  • Payment Method: Credit card or other approved payment method
  • Auto-Renewal: Your subscription automatically renews each month unless canceled
  • Failed Payments: Service may be suspended if payment fails

5.3 Taxes

Prices do not include applicable taxes. You are responsible for all sales, use, and other taxes associated with your subscription.

5.4 Refunds

Payments are non-refundable except as required by law or as specified in our refund policy. If you cancel mid-billing cycle, you will retain access until the end of your paid period.

5.5 Price Changes

We may change our pricing with 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Service Modifications and Availability

We reserve the right to:

  • Modify, suspend, or discontinue any part of our service
  • Update features and functionality
  • Change service offerings and plans

We will provide reasonable notice of material changes when possible.

6.2 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. Service may be unavailable due to:

  • Scheduled maintenance
  • System failures or technical issues
  • Factors beyond our control (network outages, natural disasters)

We are not liable for service interruptions or downtime.

7. Intellectual Property

7.1 Our Rights

All intellectual property in our services, including software, AI models, website design, trademarks, and content, is owned by C Moses Ventures LLC or our licensors.

You may not:

  • Copy, modify, or reverse engineer our software
  • Use our trademarks without permission
  • Reproduce or distribute our proprietary content

7.2 Your Content

You retain ownership of content you provide (business information, call scripts, etc.). By using our service, you grant us a license to use your content solely to provide our services.

If you provide feedback or suggestions about our service, we may use that feedback without obligation to you.

8. Call Recording and Data Use

By using our service, you acknowledge that:

  • All calls handled by Vocalyze may be recorded
  • Call recordings are used to provide service, generate transcripts, and improve AI performance
  • You are responsible for complying with call recording laws in your jurisdiction

You must ensure proper consent notices are in place if required by your local laws (e.g., two-party consent states).

8.2 Data Usage

We use call data, transcripts, and usage information to:

  • Provide and improve our services
  • Train and enhance our AI models
  • Analyze service performance

All data usage complies with our Privacy Policy.

9. Limitation of Liability

9.1 Service “As Is”

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO OUR SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM
  • WE ARE NOT LIABLE FOR LOSSES CAUSED BY FACTORS BEYOND OUR REASONABLE CONTROL

This includes, but is not limited to, losses from:

  • Missed calls or appointments
  • Service interruptions or errors
  • Data loss or corruption
  • AI mistakes or incorrect responses
  • SMS delivery failures
  • Business losses or lost profits

9.3 AI Limitations

Our AI receptionist is an automated system and may:

  • Make mistakes or provide incorrect information
  • Misunderstand callers or context
  • Fail to handle complex situations appropriately

You are responsible for reviewing call summaries and ensuring critical information is handled correctly.

9.4 Third-Party Services

We use third-party services (telephony, SMS, hosting). We are not liable for failures or issues caused by third-party providers.

10. Indemnification

You agree to indemnify and hold harmless C Moses Ventures LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you provide or transmit through our service
  • Your TCPA or communications law violations

11. Termination

11.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting contact@vocalyzeai.com. Cancellation takes effect at the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Use our service for illegal purposes
  • Fail to pay subscription fees
  • Engage in abusive or fraudulent behavior

We will provide notice when possible, but may terminate immediately for serious violations.

11.3 Effect of Termination

Upon termination:

  • Your access to our services will cease
  • We may delete your account data after a reasonable retention period
  • You remain responsible for any outstanding fees
  • Provisions of these Terms that should survive (liability limitations, indemnification) remain in effect

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

12.2 Arbitration Agreement

Any disputes arising from these Terms or our services will be resolved through binding arbitration in Lubbock County, Texas, except:

  • Small claims court disputes (under $10,000)
  • Intellectual property disputes

You waive the right to participate in class action lawsuits or class-wide arbitration.

12.3 Informal Resolution

Before filing arbitration, you agree to contact us at contact@vocalyzeai.com to attempt informal resolution.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Vocalyze regarding our services.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

13.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

13.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor.

13.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control (natural disasters, pandemics, war, government actions, network failures).

13.6 Changes to Terms

We may update these Terms periodically. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending notice via email or SMS
  • Updating the “Last Updated” date

Continued use after changes constitutes acceptance of the updated Terms.
